(1) These Partner Terms apply to all contracts on the publication of property listings and on additional services on the WoSuch platform — the website at wosuch.com and the mobile apps for iOS and Android — between the operator and commercial providers (hereinafter “partners”).
(2) Operator and contracting party:
Mykola Gnylytskyy
Gentzgasse 21
1180 Vienna
Austria
E-mail: kontakt@wosuch.com
(3) Partners can only be businesses that operate commercially as estate agents or property developers and hold the authorisation required for this under the law of their country of establishment. The Austrian Consumer Protection Act does not apply.
(4) For users who search for property on the platform, the WoSuch Terms of Use apply. Deviating terms of the partner do not become part of the contract, even if WoSuch does not expressly object to them.
(5) These Partner Terms can be accessed on wosuch.com before and at any time after the conclusion of the contract and can be saved and printed.
(1) WoSuch provides an online platform on which partners publish property listings and users search them. WoSuch is a provider of an online intermediation service within the meaning of Regulation (EU) 2019/1150 and a hosting service provider within the meaning of § 16 of the Austrian E-Commerce Act (ECG) and Art. 6 of Regulation (EU) 2022/2065 on digital services.
(2) WoSuch is neither an estate agent nor a property developer and does not act as an intermediary. WoSuch is not a party to the contracts between the partner and interested parties and receives no commission or other transaction-related remuneration from them. The partner’s fee depends solely on the number and duration of the published listings and on the additional services booked.
(3) WoSuch does not owe any particular number of views, enquiries or concluded contracts.
(4) WoSuch does not offer any property itself and does not favour its own or affiliated offers.
(5) The partner is free to offer its listings at the same time on other platforms and through other channels on any terms.
(1) The partner applies for a partner account via the form on wosuch.com or in the partner account area. With the application, the partner confirms that it meets the requirements of § 1 (3). On request it provides proof, in particular its trade licence, an extract from the trade register or commercial register and its VAT identification number.
(2) The contract is concluded when WoSuch activates the partner account. There is no right to activation; a rejection is communicated to the applicant with reasons.
(3) The partner keeps its access data secret. It is liable for the actions of employees and other persons to whom it grants access to its account.
(4) The partner updates changes to its company data — in particular company name, address, VAT number and authorisation — without delay in the partner account. The partner informs WoSuch without delay if its authorisation lapses.
(1) WoSuch publishes the listings submitted by the partner on the website and in the apps and provides a company profile and a partner account. In the partner account, the partner has access to statistics on its listings, in particular impressions, exposé views, watchlist saves and contact clicks, with export as CSV and PDF.
(2) The partner submits its listings by entering them in the partner account or via the OpenImmo interface. For submissions via the interface, WoSuch takes over the data as submitted; the partner is responsible for their accuracy and for keeping them up to date.
(3) WoSuch determines the design, presentation and features of the platform. The main parameters for the order of listings and their relative weight are described on the page “How we sort”.
(4) Additional services. For individual listings the partner can book a TOP placement or an advertisement for a separate fee. Prices, durations, advertising areas and positions are described on wosuch.com under “Advertising” and on the page “How we sort”. Listings with additional services are always labelled as “Ad”. Additional services are charged in advance for the booked duration. While a TOP placement is booked, the region of the listing cannot be changed. If the publication of the listing ends before the end of the booked duration for reasons attributable to the partner — such as sale, letting, deletion or termination — there is no refund.
(5) WoSuch may further develop the platform and change features. Material restrictions of the services under (1) and (2) are announced in accordance with § 12.
(1) A listing within the meaning of these Partner Terms is every published unit — a flat or a house — that is offered as free or reserved. For projects of property developers, every available unit of the project is a listing; the project page is included in the fee.
(2) The fee per listing and calendar month is the price in the price list published on wosuch.com (“Prices & terms”) for the period of service, for the country of the partner account. Prices are graduated: each price applies to the listings within its band. Separate bands apply to estate agents and to property developers.
(3) Every listing that was published and available for at least one day in a calendar month is charged for the whole calendar month. If a listing is sold or let, the current calendar month is still payable, but not the following months. The number of listings is determined by WoSuch’s records; the partner can view it in the partner account.
(4) All prices are net, plus statutory VAT where applicable.
(5) WoSuch invoices monthly in arrears and sends invoices electronically. Invoices are payable without deduction within 14 days of the invoice date. In the event of late payment, the statutory default interest for businesses applies. If the partner is more than 14 days in default despite a reminder, WoSuch may suspend publication in accordance with § 10.
(6) The partner raises objections to an invoice in writing or by e-mail within 30 days of receipt; after that the invoice is deemed accepted. WoSuch points out this consequence on the invoice.
(1) A founding partner is a partner who applies for its partner account by 31 March 2027 inclusive and has it activated. Founding partners publish listings free of the fee under § 5 until 30 June 2027 inclusive. After that they receive a 25 % discount on the fee under § 5 for twelve months.
(2) Partners who apply for their partner account after 31 March 2027 publish listings free of the fee under § 5 for one month from activation.
(3) The free period and the founding discount are granted only once per business, determined by the VAT number or the commercial register number. They apply only to the fee under § 5, not to additional services under § 4 (4).
(4) WoSuch informs the partner by e-mail at least 30 days before the end of the free period.
(5) After the free period, listings remain published only if the partner expressly orders paid publication in the partner account. There is no automatic renewal. Without an order, the listings go offline at the end of the free period and are deleted, including photos and documents, 30 days later; no costs arise. The partner account remains, and the partner can submit listings again at any time.
(1) The contract for paid publication runs for an indefinite period from the order, with no minimum term.
(2) The partner may terminate the contract with 14 days’ notice to the end of a calendar month, in the partner account or by e-mail to kontakt@wosuch.com. When the termination takes effect, the listings go offline and are deleted, including photos and documents, 30 days later.
(3) WoSuch may terminate the contract with 30 days’ notice and informs the partner of the reasons on a durable medium before the termination takes effect.
(4) The right of both parties to terminate without notice for good cause remains unaffected. Good cause for WoSuch exists in particular if the partner repeatedly or seriously breaches § 8, its authorisation under § 1 (3) lapses, or it is more than 30 days in default of payment despite a reminder. WoSuch communicates the reasons on a durable medium unless a legal obligation prevents this.
(5) After the end of the contract, the partner can still access and export its statistics in the partner account for 30 days. WoSuch keeps invoices and the data required for accounting for the statutory periods.
(1) The partner only publishes listings that are actually offered and that it is entitled to market as owner, property developer or on the instruction of the entitled person. Bait offers, duplicate listings and listings of other providers without their consent are not permitted.
(2) The information must be true, complete and up to date. The partner provides all information required by law, in particular on the energy performance certificate (in Austria under the Energy Performance Certificate Presentation Act 2012, in Germany under the Building Energy Act) and on the commission.
(3) The partner marks sold and let units as no longer available without delay, at the latest within two working days.
(4) The partner only uses photos, floor plans, texts and other content for which it holds the necessary rights. It labels visualisations, renderings and symbolic images as such.
(5) Listings must not discriminate, in particular not within the meaning of the Austrian Equal Treatment Act and the German General Equal Treatment Act.
(6) If the partner publishes names, photos or contact details of contact persons, it ensures that these persons agree or that another legal basis exists.
(7) The partner uses enquiries from interested parties only to handle the respective enquiry and under its own responsibility under data protection law.
(8) Listings must not contain advertising for third parties, links to other property platforms or contact details hidden in images.
(1) For the duration of publication, the partner grants WoSuch the non-exclusive, royalty-free right to store, reproduce and technically adapt the submitted content (for example size, crop, format and compression of images), to translate it into the languages of the platform, and to display it on the website, in the apps, in search results, on the map, in the company profile, in the Concierge and in notifications to users.
(2) The right of use ends when the content is deleted. Backup copies are overwritten within 30 days thereafter.
(3) The partner indemnifies and holds WoSuch harmless against third-party claims arising from content submitted by it or from a breach of § 8, including reasonable costs of legal defence.
(1) WoSuch may review listings automatically and manually for completeness, plausibility and lawfulness.
(2) WoSuch may restrict individual listings, take them offline or suspend publication as a whole if there is a breach of § 8, of statutory provisions or of these Partner Terms, if a substantiated notice of illegal content is received, in the event of late payment under § 5 (5), or if this is necessary to protect the platform or its users.
(3) WoSuch informs the partner of the reasons by e-mail at the latest when the measure is taken, stating the specific facts and the ground. The partner can clarify the matter in the complaints procedure under § 11. If the ground ceases to apply, WoSuch lifts the measure without delay.
(4) WoSuch handles notices of illegal content in accordance with Art. 16 of Regulation (EU) 2022/2065.
(1) The partner sends complaints — in particular about review, restriction, suspension, ranking and billing — to support@wosuch.com. The procedure is free of charge. WoSuch replies within five working days and communicates the outcome individually.
(2) WoSuch is a small enterprise within the meaning of Recommendation 2003/361/EC and is therefore exempt from the obligations under Art. 11 and 12 of Regulation (EU) 2019/1150. WoSuch nevertheless offers the complaints procedure under (1) voluntarily. The right to bring proceedings before the ordinary courts remains unaffected.
(1) WoSuch announces changes to these Partner Terms and to the prices by e-mail at least 15 days before they take effect. If a change requires technical or commercial adjustments by the partner, a correspondingly longer period applies.
(2) The partner may terminate the contract until the change takes effect; the termination takes effect before the change does.
(3) Changes do not apply retroactively.
(4) A shorter period applies only if WoSuch is obliged to make a change by law or by an authority, or must avert an unforeseen danger to the platform or its users.
(1) In the partner account, the partner has access to the data generated by its listings (§ 4 (1)), in aggregated form and without personal data of users. The partner receives enquiries when a user addresses them to it.
(2) WoSuch uses usage data of the platform in aggregated form to provide, bill and improve the platform and for the ranking described in “How we sort”. Data of one partner is not passed on to other partners and is not sold.
(3) For enquiries, WoSuch and the partner are each separate controllers within the meaning of the GDPR. Details are set out in the privacy policy.
(1) WoSuch is liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health.
(2) In the case of slight negligence, WoSuch is only liable for the breach of essential contractual obligations, limited to the typical, foreseeable damage and in amount to the total fees paid by the partner in the twelve months before the damaging event. Liability for lost profit and consequential damage is excluded in the case of slight negligence.
(3) WoSuch is not liable for partners’ content, for contracts between partners and interested parties, or for services of third parties integrated into the platform.
(1) Uninterrupted availability of the platform is technically impossible and is not owed. Maintenance work is announced in advance where possible.
(2) Imports via the OpenImmo interface run automatically and may be delayed.
(1) Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law.
(2) The exclusive place of jurisdiction is the competent court in Vienna, Innere Stadt.
(1) Declarations under these Partner Terms may be made by e-mail.
(2) If any provision is or becomes invalid or unenforceable, the validity of the remaining provisions remains unaffected. It is replaced by a valid provision that comes closest to its economic purpose.
(3) The German version of these Partner Terms is binding. Translations are for information only.
